Welcome to AIBI-Studio (accessible via https://aibi-studio.com). These Terms of Use (“Terms”) govern your access to and use of the website, services, and AI-native tools provided by AIBI-Studio, a specialized unit of Smart24x7 Response Services Pvt. Ltd. (collectively referred to as “AIBI-Studio”, “the Company”, “we”, “us”, or “our”).

By accessing our website or utilizing our AI + BI innovation services, you agree to be bound by these Terms. If you do not agree to these Terms, please refrain from using our services.

 

1. Nature of Services

AIBI-Studio provides a comprehensive intelligence ecosystem designed to empower founders, enterprises, and startups.

  • Innovation Lab: We offer services including AI product development, Business Intelligence (BI) analytics, and IoT integration.

  • Agentic AI: Our Level 3 AI systems are designed to think, act, and learn autonomously.

  • No-Code Workflows: We provide platforms for automating business processes without the need for extensive coding.

2. Eligibility and Account Registration

  • Minimum Age: You must be at least 18 years of age or the legal age of majority in your jurisdiction to use our services.

  • Commercial Use: These services are primarily intended for business entities, founders, and enterprise clients.

  • Account Accuracy: You agree to provide accurate, current, and complete information during registration and to keep your credentials confidential.

  • Authorized Access: You are responsible for all activities that occur under your account.

3. Intellectual Property Rights

  • Ownership of Platform: AIBI-Studio and its licensors retain all rights, title, and interest in the “Deep Tech Framework,” including all software, algorithms, “Adaptor APIs,” and proprietary models.

  • User Data: You retain ownership of the raw data you provide to the platform. We claim no ownership over your specific business data.

  • AI-Generated Outputs: Ownership of outputs generated by our Agentic AI for your specific business use is governed by your specific service agreement/plan.

  • Trademarks: The names “AIBI-Studio,” “Smart Group Incubations,” and “Smart24x7” are trademarks of the Company. Use without written permission is prohibited.

4. Acceptable Use Policy

Users agree NOT to use the platform for:

  • Illegal Activity: Engaging in or promoting any illegal acts or violating local, state, or international laws.

  • Reverse Engineering: Attempting to decompile or extract the source code of our AI models or “The Brain” engine.

  • Security Breaches: Bypassing our “Perimeter & Edge” security or “Zero Trust” architecture.

  • Data Scrapping: Using automated systems to extract data from our website or internal “Data Stores” without authorization.

  • Malicious Use: Deploying the AI agents to harass, deceive, or harm third parties.

5. Data Privacy and Security

We prioritize enterprise-grade security as part of the Smart Group ecosystem.

  • Encryption: All data is protected via AES 256/TLS 1.3 encryption protocols.

  • Compliance: We adhere to ISO 27001, PCI-DSS, and SOC 2 Type II standards.

  • Data Isolation: Our platform uses “Tenant Isolated Indexes” to ensure your data is never crossed with other users.

  • Privacy Policy: Your use of our site is also governed by our Privacy Policy, which details how we handle Personally Identifiable Information (PII) and “PI Redaction”.

6. Subscription and Payment Terms

AIBI-Studio offers various tiers: Starter, Growth, and Enterprise.

  • Billing: Services are billed based on user count and token utilization as per your specific “Token Billing Engine”.

  • No Refund Policy: Due to the nature of AI compute resources and development man-hours, all payments for set-up and subscription are non-refundable unless stated otherwise in a custom Enterprise contract.

  • Late Payments: We reserve the right to suspend access to “Dynamic Dashboards” and “Automation Engines” if payments are overdue.

7. Agentic AI and Automation Disclaimer

  • Autonomous Actions: You acknowledge that “Level 3” Agentic AI can perform actions such as booking, paying, or verifying invoices.

  • Human Oversight: While our AI aims for “Zero Errors,” we recommend human oversight for critical financial or safety-related escalations.

  • Limitations of AI: AI models are based on “mathematical recipes” and past data. We do not guarantee 100% accuracy in predictive foresight.

8. Third-Party Integrations

Our platform utilizes “Magic Connectors” and “Adaptor APIs” to link with services like Tally, Zoho, WhatsApp, and OpenAI.

  • Third-Party Terms: Your use of integrated third-party tools is subject to their respective terms.

  • API Limits: We are not responsible for service interruptions caused by third-party API providers or their “Rate Limits”.

9. Limitation of Liability

To the maximum extent permitted by law:

  • No Indirect Damages: AIBI-Studio (Smart24x7 Response Services Pvt. Ltd.) shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or “Daily Chaos” resulting from system downtime.

  • Maximum Liability: Our total liability for any claim shall not exceed the amount you paid us in the six (6) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless AIBI-Studio, Smart Group, and their affiliates from any claims, losses, or expenses (including legal fees) arising from:

  • Your breach of these Terms.

  • Your use of AI agents in a manner that violates third-party rights.

  • The business data you upload to our “Sharded Data Source”.

11. Termination of Service

  • Termination by You: You may stop using our services and request to “Opt-out” of data usage at any time.

  • Termination by Us: We reserve the right to terminate your access for violations of the “Acceptable Use Policy” or failure to pay fees.

  • Data Deletion: Upon termination, your data will be handled according to our data retention policy and “Audit Trail for Compliance” requirements.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Gurgaon/New Delhi, where our headquarters are located.

13. Force Majeure

Neither party shall be liable for failure to perform its obligations due to causes beyond reasonable control, including but not limited to, global cloud infrastructure outages, internet service provider failures, or government mandates.

14. Modifications to Terms

We may update these Terms from time to time to reflect changes in “Deep Tech” or regulatory requirements.

  • Notice: We will notify users of significant changes via the “Mobile Dashboard” or email.

  • Continued Use: Continued use of the platform after changes constitutes acceptance of the new Terms.
